VENDOR PRIVACY POLICY & OPERATIONAL LIABILITY AGREEMENT
Effective Date: Ashad 1, 2083 (June 15, 2026)
Governing Authority: Under the direct oversight of the Chief Executive Officer (CEO), NonaMart.
This Vendor Privacy Policy and Operational Liability Agreement ("Agreement") constitutes a legally binding contract between NonaMart (referred to as "the Platform") and the registered supplier, commercial farmer, cooperative, or artisan (referred to as "the Vendor").
By registering on the NonaMart platform system, submitting the vendor onboarding form, or supplying goods for distribution, the Vendor explicitly agrees to all terms detailed below.
SECTION 1: SMART LIABILITY CLAUSES (VENDOR ACCOUNTABILITY)
1.1 Certification, Quality, and Departmental Compliance
Absolute Vendor Responsibility: The Vendor guarantees that all agricultural produce (including fruits, coffee, ginger, turmeric, cardamom, etc.) and handicrafts comply fully with local and international regulatory standards.
Departmental Rejections: If any government entity—including the Department of Food Technology and Quality Control (DFTQC) of Nepal or corresponding international departments (FDA, EFSA, etc.)—flags, penalizes, or deems a product uncertified, contaminated, or substandard, the Vendor shall bear 100% of the legal and financial responsibility. NonaMart is completely indemnified against all regulatory penalties.
1.2 Cross-Border Customs & International Freight Liabilities
Customs Clearance Issues: NonaMart acts as the digital trade bridge facilitating international B2B/B2C logistics. If a shipment is detained, seized, rejected, or destroyed at any local or foreign customs border due to product defects, illegal chemical residues, mislabelling by the vendor, or lack of proper cultivation documentation, the Vendor shall absorb all associated financial losses, customs fines, and shipping return costs.
1.3 Customer Returns, Disputes, and Refunds
Defective Products: If an international or domestic buyer files a dispute regarding product quality, damage, counterfeit nature, or mismatch from the listed specifications, the issue is catagorized as a "Product-Related Issue."
Financial Charge backs: In all such product-related issues, the Vendor is entirely responsible for financing the full refund or product replacement. NonaMart reserves the right to automatically deduct these refund amounts from the Vendor's upcoming payment schedule under executive financial control.
SECTION 2: INTELLECTUAL PROPERTY & MEDIA COP_YRIGHT WAIVER
2.1 Permanent Media Rights Assignment
NonaMart Studio Exclusivity: To promote "Made in Nepal" products globally, NonaMart's marketing and sourcing teams frequently capture professional photos, cinematic videos, and drone footage of the products at the NonaMart office, warehouses, or during hybrid field visits to farms.
No Copyright Claims: Once any video, photo, or digital asset is created, processed, or placed within the NonaMart system ecosystem, the Vendor explicitly waives all current and future cop_yright claims to those assets.
Irrevocable Global License: NonaMart retains a permanent, royalty-free, worldwide, irrevocable license to utilize, edit, publish, or run paid Facebook, Google, and Yango ad campaigns using this media. The Vendor cannot demand media removal or claim intellectual property infringement even if their vendor account is later deactivated.
SECTION 3: DATA PRIVACY & COMPLIANCE POLICY
3.1 Data Collection & Trade Mapping
NonaMart collects vendor identity profiles (National Identity Cards, PAN Cards, Company Registrations, and Bank Coordinates) strictly for export verification, certification compliance, and direct payment routing.
3.2 Confidentiality Mandate
B2B Client Protection: The Vendor shall not attempt to bypass NonaMart to directly contact, sell to, or negotiate terms with international buyers introduced via nonamart.com.
All corporate communication, marketplace pricing structures, and buyer lists are the exclusive trade secrets of NonaMart. Breach of this confidentiality results in immediate termination, Tier-Grade devaluation to zero, and legal action.
SECTION 4: ENFORCEMENT & ACCEPTANCE
Breach of Terms: Any violation of this agreement gives NonaMart the executive right to freeze the vendor's digital portal profile, halt all pending payment schedules, and seek full financial compensation in the courts of Kathmandu, Nepal.
Electronic Signature: By checking the "I Accept" box on the NonaMart Website Embed Form or signing a physical copy, the Vendor acknowledges they have read, understood, and agreed to be legally bound by this Smart Privacy and Liability Policy.
